Alpha Testing Agreement

1. Parties

This Non-Disclosure Agreement ("Agreement") is entered into between StreamAutoClipper ("Disclosing Party") and the alpha tester ("Receiving Party") who agrees to test the StreamAutoClipper alpha software.

2. Definition of Confidential Information

For purposes of this Agreement, "Confidential Information" includes ONLY the following specific items:

• Alpha Access Codes: Your specific access code and any unused access codes
• Software Files: The actual application files, executables, and installation packages
• Screenshots/Recordings: Visual documentation of the software interface and functionality
• Source Code: Any visible source code, technical implementation details, or reverse-engineered information
• Competitive Use: Using the software to build competing products or services

IMPORTANT: You are encouraged to discuss your experience, opinions, and results publicly during streams and on social media!

3. Obligations of Receiving Party

The Receiving Party agrees to:

• Protect Access Codes: Keep your alpha access code private and not share it with others
• No Screenshots/Recordings: Not take screenshots, record videos, or create visual documentation of the software interface
• No Reverse Engineering: Not attempt to reverse engineer, decompile, or extract source code from the software
• No Competitive Use: Not use insights gained from testing to create competing products or services
• No File Sharing: Not distribute, share, or upload the software files or installation packages

YOU ARE ENCOURAGED TO:

• ✅ Stream with the software live on camera
• ✅ Discuss your experience and opinions publicly
• ✅ Share your results and clips on social media
• ✅ Tell other creators about the alpha program
• ✅ Create buzz and excitement about StreamAutoClipper

4. Prohibited Activities

The Receiving Party specifically agrees NOT to:

• Share access codes with any third party (keep your code private)
• Distribute software files or installation packages to others
• Take screenshots or record videos of the software interface
• Reverse engineer or decompile the software to extract source code
• Create competing products based on insights gained from testing
• Share the software files with competitors or potential competitors

Note: These restrictions are specifically about protecting the software itself and access distribution, not your ability to talk about your experience!

5. Duration

This Agreement shall remain in effect for a period of three (3) years from the date of execution, or until the software is publicly released, whichever occurs first. The obligations regarding Confidential Information shall survive termination of this Agreement.

6. Return of Materials

Upon termination of the alpha testing period or upon request by the Disclosing Party, the Receiving Party agrees to immediately delete all copies of the software and return or destroy any materials containing Confidential Information.

7. Legal Remedies

The Receiving Party acknowledges that any breach of this Agreement may cause irreparable harm to the Disclosing Party, and that monetary damages may be inadequate. Therefore, the Disclosing Party shall be entitled to seek injunctive relief and other equitable remedies in addition to any other legal remedies available.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where StreamAutoClipper is based, without regard to conflict of law principles.
